Terms of Service for Temple Tools

Effective Date: These terms are effective as of 17-May-2024 and apply retroactively to all users who accessed the Software prior to this Effective Date.

1. Acceptance of Terms

By accessing and using Temple Tools ("Software"), provided by Marc Bartnick ("Company"), you ("User") agree to comply with and be bound by these Terms of Service ("TOS"). If you do not agree to these terms, do not use the Software. These terms apply retroactively to all users who accessed the Software prior to this Effective Date.

2. License

The Company grants the User a non-exclusive, non-transferable, revocable license to use the Software solely for the internal business purposes of The Church of Jesus Christ of Latter-day Saints.

3. Restrictions

The User shall not:

  • Copy, modify, distribute, or create derivative works based on the Software.
  • Reverse engineer, decompile, or disassemble the Software.
  • Use the Software to develop a competing product or service.

4. Intellectual Property

The Software, including its logic, processes, and methodologies, is the intellectual property of the Company. Unauthorized use or duplication of the Software's components is strictly prohibited.

5. Confidentiality

The User agrees to maintain the confidentiality of the Software and any proprietary information related to its processes, functionalities, and business logic.

6. Termination

The Company reserves the right to terminate this TOS and the User's access to the Software at any time for breach of these terms. Upon termination, the User must cease all use of the Software and destroy any copies in their possession.

7. Liability

The Software is provided "as is" without warranties of any kind. The Company shall not be liable for any damages arising from the use or inability to use the Software.

8. Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of law principles. Any disputes arising out of or relating to these terms shall be resolved exclusively in the state or federal courts located in Tarrant County, Texas.

9. Retroactive Application

These terms apply retroactively to all users who accessed the Software prior to this Effective Date.

End User License Agreement for Temple Tools

Effective Date: This license agreement is effective as of 17-May-2024 and applies retroactively to all users who accessed the Software prior to this Effective Date

1. License Grant

Marc Bartnick ("Licensor") grants The Church of Jesus Christ of Latter-day Saints ("Licensee") a non-exclusive, non-transferable license to use Temple Tools ("Software") solely for internal business purposes.

2. Ownership

The Software and all intellectual property rights therein remain the property of the Licensor. This EULA does not grant the Licensee any ownership rights to the Software.

3. Use Restrictions

The Licensee agrees not to:

  • Copy, modify, or create derivative works based on the Software.
  • Reverse engineer, decompile, or disassemble the Software.
  • Use the Software to develop a similar or competing product.

4. Confidentiality

The Licensee shall treat the Software as confidential and will not disclose it to any third party without the Licensor's written consent.

5. Term and Termination

This EULA is effective until terminated. The Licensor may terminate this EULA if the Licensee fails to comply with any terms. Upon termination, the Licensee must cease all use of the Software and destroy all copies.

6. Intellectual Property Protection

The Licensee acknowledges that the Software contains proprietary and confidential information that is protected by intellectual property laws. Any unauthorized use or reproduction of the Software may result in legal action.

7. Disclaimer of Warranties

The Software is provided "as is" without warranty of any kind. The Licensor disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

8. Limitation of Liability

In no event shall the Licensor be liable for any indirect, incidental, special, or consequential damages, or damages for loss of profits, revenue, data, or use, incurred by the Licensee or any third party, whether in an action in contract or tort, arising from the use of the Software.
